1. Acceptance of Terms

By accessing or using Uptaski ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Service. These Terms apply to all visitors, users, and others who access the Service.

2. Description of Service

Uptaski is a task management platform that allows teams and individuals to create, assign, track, and manage tasks across projects. The Service includes features such as daily, weekly, and monthly task views, team collaboration, recurring task scheduling, and analytics.

3. Account Registration

To use the Service, you must create an account by providing accurate and complete information. You are responsible for maintaining the security of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

You must be at least 16 years of age to use the Service. By creating an account, you represent that you meet this age requirement.

4. Subscription and Billing

Uptaski offers both free and paid subscription plans. Paid plans are billed on a monthly or annual basis, depending on the plan selected at registration. By subscribing to a paid plan, you authorize us to charge your payment method on a recurring basis.

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial billing periods, except where required by applicable law.

We reserve the right to change our pricing at any time. We will provide at least 30 days' notice before any price changes take effect for existing subscribers.

5. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Infringe upon the intellectual property rights of others
• Transmit any harmful, offensive, or disruptive content
• Attempt to gain unauthorized access to any part of the Service or its infrastructure
• Use automated tools to scrape, crawl, or extract data from the Service without permission
• Impersonate any person or entity or misrepresent your affiliation with any person or entity

6. Data and Privacy

Your use of the Service is also governed by our Privacy Policy. By using the Service, you consent to the collection and use of your information as described in the Privacy Policy.

You retain ownership of all content and data you submit to the Service. By submitting content, you grant us a limited license to store, process, and display that content solely for the purpose of providing the Service to you.

We implement industry-standard security measures to protect your data. However, no method of transmission over the internet is 100% secure, and we cannot guarantee absolute security.

7. Workspace Isolation

Each Uptaski workspace is logically isolated. Members of one workspace cannot access the data, tasks, or members of another workspace. Workspace administrators are responsible for managing member access within their workspace.

8. Intellectual Property

The Service, including its design, code, features, and branding, is owned by Uptaski and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Service without our express written permission.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Uptaski shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or in connection with your use of the Service.

Our total liability to you for any claims arising from your use of the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

10. Termination

We reserve the right to suspend or terminate your account at any time if you violate these Terms or engage in conduct that we determine, in our sole discretion, is harmful to the Service or other users.

Upon termination, your right to use the Service will immediately cease. You may export your data before termination. We will retain your data for 30 days after termination, after which it may be permanently deleted.

11. Changes to Terms

We may update these Terms from time to time. We will notify you of significant changes by email or by displaying a notice within the Service. Your continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the jurisdiction in which Uptaski operates, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved through binding arbitration or in the courts of that jurisdiction.
